End-User License Agreement

1. Grant of License

Subject to the terms of this Agreement, KinTek Corporation ("KinTek") grants you a limited, non-exclusive, non-transferable license to:

• Install and use the software on devices you own or control
• Use the software solely for your internal research, educational, or commercial purposes as specified in your license type
• Make one backup copy of the software for archival purposes

2. License Types

Single-User License

Permits installation and use on one computer by one user. The software may be transferred to another computer owned by the licensee, provided it is removed from the original computer.

Multi-User License

Permits installation and use on the specified number of computers within a single institution or organization. Each installation must be properly licensed.

Site License

Permits installation and use on an unlimited number of computers at a single physical location or campus as specified in your license agreement.

3. Restrictions

You may not:

• Copy, distribute, or transfer the software except as expressly permitted
• Reverse engineer, decompile, disassemble, or attempt to derive source code from the software
• Modify, adapt, translate, or create derivative works based on the software
• Remove or alter any copyright, trademark, or other proprietary notices
• Rent, lease, sublicense, sell, or lend the software to third parties
• Use the software for any unlawful purpose or in violation of applicable laws
• Circumvent or disable any security features or technological protection measures

4. License Activation and Management

The software may require activation and periodic validation to verify that it is properly licensed. The software may communicate with KinTek servers to:

• Activate your license
• Verify license authenticity and compliance
• Check for updates and security patches
• Collect anonymous usage statistics to improve the software

Failure to complete activation or validation may result in reduced functionality or termination of the license.

5. Intellectual Property

The software is licensed, not sold. KinTek and its licensors retain all right, title, and interest in and to the software, including all intellectual property rights. This Agreement does not grant you any rights to trademarks, service marks, or trade names of KinTek.

6. Updates and Support

KinTek may provide updates, patches, or new versions of the software. Updates may be automatically downloaded and installed. Your license includes:

• Free software updates and bug fixes during the license term
• Access to technical support via email
• Online documentation and user guides
• Training resources and workshop opportunities (may require additional fees)

7. Term and Termination

This Agreement is effective until terminated. Your rights under this Agreement will terminate automatically without notice if you fail to comply with any term of this Agreement.

Upon termination, you must:

• Cease all use of the software
• Uninstall and destroy all copies of the software in your possession
• Certify destruction in writing to KinTek upon request

8. Warranty Disclaimer

The software is provided "as is" without warranty of any kind. KinTek disclaims all warranties, express or implied, including but not limited to:

• Warranties of merchantability and fitness for a particular purpose
• Warranties that the software will be error-free or uninterrupted
• Warranties regarding the accuracy or reliability of results
• Warranties of non-infringement of third-party rights

You assume all risk associated with the use of the software. KinTek does not warrant that the software will meet your requirements or that defects will be corrected.

9. Limitation of Liability

To the maximum extent permitted by law, KinTek shall not be liable for any damages arising from your use of the software, including:

• Loss of data, profits, or business opportunities
• Interruption of business operations
• Indirect, incidental, special, or consequential damages
• Damages resulting from reliance on software results or outputs

KinTek's total liability shall not exceed the amount you paid for the software license. Some jurisdictions do not allow limitation of liability, so this limitation may not apply to you.

10. Research and Academic Use

If you use the software for research or academic purposes, you agree to:

• Cite the software appropriately in publications: "KinTek Explorer (KinTek Corporation, Austin, TX)"
• Acknowledge that results should be independently validated
• Notify KinTek of significant publications resulting from software use (optional but appreciated)

11. Export Compliance

The software may be subject to export control laws and regulations. You agree to comply with all applicable export and import laws and not to export, re-export, or transfer the software in violation of such laws.

12. Governing Law

This Agreement shall be governed by the laws of the State of Texas, United States, without regard to conflict of law principles. Any disputes arising from this Agreement shall be resolved in the courts of Travis County, Texas.

13. Entire Agreement

This Agreement constitutes the entire agreement between you and KinTek regarding the software and supersedes all prior agreements, representations, and understandings. This Agreement may not be modified except by a written amendment signed by KinTek.
